DISPATCH SERVICE & BILLING

Agency operates a marketing and dispatch platform. Agency agrees to provide verbally vetted, high-intent appointment leads ("Appointments") to Contractor.

The Fee: Contractor authorizes Agency to automatically charge the credit card on file 75.00 USD via Stripe for each Appointment that is successfully dispatched to Contractor (including customer name, phone number, and address). This authorization applies to each Appointment Contractor accepts, until Contractor cancels participation in writing and all outstanding fees are paid.

Non-Refundable Dispatch Fees: Because Agency is providing a scheduled time and vetted contact, dispatch fees are generally non-refundable once the Appointment is passed. Agency does not guarantee the final sale, job size, or homeowner's willingness to accept Contractor's pricing. Agency may, at its sole discretion or where required by law, issue partial or full credits or refunds.

INDEPENDENT CONTRACTOR STATUS

Contractor is an independent business owner and a customer of Agency.

Contractor is not an employee, partner, joint venturer, or agent of Meerakapp Solutions LLC or Curb Appeal ATX. Contractor uses their own equipment, sets their own schedules, determines their own final pricing, and controls the manner and means of performing the work.

All power washing, junk removal, debris hauling, and related services performed for homeowners (the "Pro Services") are provided solely by Contractor, not by Agency.

NO AGENCY LIABILITY & INDEMNIFICATION

Agency strictly provides marketing and dispatch software services. Agency does not perform power washing, junk removal, or property maintenance, and does not supervise Contractor's work.

Property & Injury: Contractor assumes 100% of the risk and liability for any property damage, bodily injury, or incomplete work that occurs in connection with the Pro Services. Homeowners contract directly with Contractor for the Pro Services.

Indemnification: Contractor agrees to release, defend, indemnify, and hold harmless Meerakapp Solutions LLC, Curb Appeal ATX, and their respective owners, officers, and employees from and against any claims, demands, damages, losses, costs, or legal fees arising out of or related to:

• • Contractor's performance or non-performance of the Pro Services;
• • Contractor's acts, errors, or omissions; or
• • Contractor's failure to collect payment from the homeowner.

Insurance Requirement: Contractor agrees to maintain active, valid General Liability Insurance in commercially reasonable amounts at all times while receiving Appointments from Agency and shall provide proof of such coverage upon request.

PROFESSIONALISM & BRAND STANDARDS

While Contractor is an independent entity, Contractor understands that homeowners experience the Appointment as coming through the Curb Appeal ATX brand. Contractor agrees to:

• • Contact the homeowner promptly after receiving an Appointment;
• • Arrive within the scheduled booking window, except in emergencies; and
• • Perform all work in a professional, workmanlike manner consistent with industry standards and applicable laws.

Agency reserves the right to stop sending Appointments to Contractor if repeated customer complaints, no-shows, or unprofessional conduct are reported.

GOVERNING LAW

This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-law rules.
